1. USER OBLIGATIONS

As a User of these sites, you agree to keep your Username and Password secure and protected from unauthorized access or use. Immediately notify Company if you become aware of, or suspect, any unauthorized access to your Username and Password, or any other breach of security. Company will not be liable for any loss that you may incur as a result of any unauthorized usage of your Username or Password or account, either with or without your knowledge; maintain and promptly update your Account to keep it true, accurate, current and complete; to bear full financial responsibility for all uses of these Sites by you and those using your login and credit card information, including but not limited to minors living with you and to supervise all usage by such minors of these Sites; not to use these Sites to make any speculative, false or fraudulent purchases.

Company reserves the right, but is not obligated, to review materials posted to our community service, and by its sole discretion, to remove any such materials without notice. In addition, Company reserves the right to terminate your access to any or all of its community services at any time without notice for any reason whatsoever.

Unless otherwise specifically stated on these Sites, we do not endorse or make any representation or warranty regarding the liability or quality or accuracy of any products or services featured in, or linked to any advertisements that appears on these Sites.

5. PROPRIETARY RIGHTS

Company and its service partners or suppliers own the information, database, software and all associated patents, copyrights, trade secrets, and other proprietary materials within these sites.

Company grants you a non-exclusive, non-transferable license to access our websites, products, services and information contained therein. No title, ownership or any associated proprietary rights within this entire websites are transferred to User by the execution of this Agreement.

All other products and service marks contained herein are the trademarks of their respective owners and may not be used without the prior written consent of their owners.

All rights not expressly granted herein are reserved. This clause shall survive any termination of this Agreement.

6. ASSIGNMENT

Company may assign, transfer, delegate or subcontract our rights and delegate our duties under this Agreement either wholly or in part, at any time at our sole discretion without the User's knowledge or consent.

You may not assign, convey, sub-contract, delegate or substitute howsoever your rights, duties or obligations hereunder the Agreement.

7. RELATIONSHIP

This Agreement does not imply partnership, joint venture, employment, franchise or agency of any kind, between the User and Company.

8. FEES

Some of our products and services available through Company or its appointed service partners or suppliers require the purchase of a subscription, otherwise a fee may be payable. User shall be solely responsible for all charges, fees, duties and taxes arising from the use of Company products and services.

Company reserves the right to modify the fees charged for products and services from time to time. Company reserves the right not to refund any fees paid in advance in relation to terminated contract.

9. ADDITIONAL/SPECIFIC TERMS AND CONDITIONS

Additional terms and conditions and policies posted on these Sites may apply to your purchase of Company’ products and services and use of other components of the Sites and you agree to abide by these terms, conditions and policies and other components of these Sites.

10. DISCLAIMERS & INDEMNITY

Use of Company products and services are wholly at your own risk. To the maximum extent permitted by law and under no circumstances shall Company or our service partners or suppliers be liable for any harm to the User or others resulting from use of Company products and services including without limitation, loss of revenue; business interruption; loss of business information or any other financial loss; loss of rights or services; loss of data; invasion of privacy.

Company endeavors to make any Internet access service available 24 hours a day 7 days a week, except for downtime which is necessitated through upgrades or remedial or preventative maintenance or undetermined faults which occur and are outside Company control. However, we disclaim any warranty for our products and services, the adequacy, accuracy or completeness of the information or services incorporated at our sites, or that said services would be uninterrupted or error-free.

Company will archive User's data on to backup mechanisms on a regular basis for the purposes of disaster recovery. In the event of equipment failure or data corruption, we will restore from the last recoverable archive. In the event of corruption of all our archives, or in the event that an old archive is used to restore your data, you should be prepared to upload your current data from your own back up. This process requires that you maintain a recent copy of your data at your premises at all times as Company does not warrant or represent that its last recoverable archive will contain your most recent data.

Company disclaims any liability for any errors in or omissions from its information, services, or materials.

Company shall be responsible, for its commercial products and services, without charge to the User, for rectifying, within a reasonable time, by repair, or at the Company's option, by supply of a replacement, any defect in the commercial products and services which the User so informs the Company about in writing, which under proper use reasonably appears not to have been caused by the User or any defect in the User's hardware or system. This shall be Company sole and exclusive liability to the User for any defects in commercial products and services.

11. FORCE MAJEURE

Company will not be held liable or any damages or loss arising from any events which are beyond the reasonable control of Company or any of its service partners or suppliers. Such an event shall include Acts of God, earthquakes, typhoons, flood, natural disaster or fire, strikes, dangers incidental to sea, land and air travel, government action, compliance with any laws, regulations or orders, civil war, industrial disputes, power failure, howsoever caused.

12. TERMINATION

Company may terminate or suspend an Agreement with the User and your access to its sites and services either wholly or in part at any time, with or without reasons, and with or without notice.

If Company is unable to charge the relevant fees to your nominated credit card or if you are otherwise in breach of this Agreement, in each case Company will notify you of the suspension of our services and what needs to be done to lift the suspension.

Upon the effective date of any such termination all rights granted to User will terminate but provisions detailed in "Proprietary Rights," and "Disclaimers" as above will survive.

13. GOVERNING LAW

This Agreement will be interpreted and applied in accordance with the laws of Indonesia without regard to any of its conflict of laws provisions and you irrevocably consent and submit to the personal and exclusive jurisdiction of the Indonesian courts.
